Alitalia’s board on Sunday unanimously accepted Air France-KLM’s bid valued at $1.1 billion in a move to save the struggling national carrier.
The Air France-KLM offer values the airline at 139 million euros ($216 million), far less than expected, and a fifth of its market capitalisation at the end of last week. The new valuation is based on a share swap of 1 Air France share for every 160 Alitalia shares. The Franco-Dutch carrier also said it will pay euro608 million ($946 million) for convertible shares.
Air France said it will inject euro1 billion ($1.56 billion) in capital once the deal is complete. The French company plans to cull 1,600 jobs from Alitalia as it cancels unprofitable routes and eliminates inefficiencies. It has also said it will take over only part of Alitalia’s ground services division, which could mean the airline faces more job losses than publicly stated.
This business model is likely to put Air France at loggerheads with Italian trades unions, which must back the deal in order for it to go ahead. The takeover also needs clearance from the Italian government, which may take some time following the collapse of the administration led by Romano Prodi in January.

AMSTERDAM (Reuters) – Air France-KLM said on Monday it has agreed to buy European regional carrier VLM Airlines.
Air France-KLM said in a statement VLM Airlines, which is a unit of Dutch company Panta Holdings B.V., operates a fleet of 19 aircraft and operates most of its flights from London City Airport.
“VLM Airlines will actively cooperate with the regional carrier CityJet, a 100 percent subsidiary of Air France, already operating out of London City Airport,” Air France-KLM said, without disclosing financial details.
